Religious Corporations

Under the state’s Religious Corporations Law (RCL), religious organizations in New York and their houses of worship, such as churches, synagogues, temples, mosques, and other faith-focused establishments can choose to incorporate, forming not-for-profit religious corporations. Incorporating offers many advantages, such as being legally able to buy, sell, mortgage, and lease real property, and enjoy other benefits of limited liability while also remaining exempt from federal taxes. At Damm Law, we advise potential clients considering becoming a religious corporation. For those that elect to incorporate, we provide a wide range of legal services, including the following:

  • Helping meet the filing requirements in New York and submitting the proper documents to the proper offices
  • Following the necessary guidelines for making real estate transactions, such as obtaining approval from the Attorney General and the Supreme Court
  • Litigating disputes that arise between a religious corporation’s trustees and its clergy
  • Negotiating agreements/contract terms between a congregation and incoming clergy
  • Complying with laws and regulations that are specific to the particular religion or denomination at hand, which typically take precedence under the RCL

We have substantial experience in seeking and obtaining Attorney General or Court approval for selling, leasing or mortgaging real property on behalf of religious corporations. We have handled these transactions in New York City, Long Island and upstate New York.
